Transfer of Shares in PT Mega Inter Distrindo
Referring to Financial Service Authority (Otoritas Jasa Keuangan -“OJK”) Regulation No. 31/POJK.04/2015 on Information Disclosure of Material Facts by Issuer or Public Company (“OJK Reg. 31/2015”) in conjunction with Indonesian Stock Exchange (Bursa Efek Indonesia – “IDX”) Regulation No. I.E regarding Obligation to Submit Information, we, PT Pyridam Farma Tbk (the “Company”) hereby inform the following material information:
a. Date of Occurrence
December 28th, 2023.
b. Type of Material Information or Fact
Information or other material facts as referred to in Article 6 (cc) POJK 31/regarding the transfer of shares owned by the Company and its controlled company in a subsidiary.
c. Details of Material Information or Fact
The Company and PT Pyfa Sehat Indonesia have transferred all of their shares in PT Mega Inter Distrindo, a controlled subsidiary of the Company, to PT Sukses Makmur Abadi, and its affiliate, PT Sari Murni Abadi (“Transfer Transaction”), with details as follow:
1. Transferred Company:
PT Mega Inter Distrindo
2. Transacting Parties
(i) PT Pyridam Farma Tbk and PT Sukses Makmur Abadi; and
(ii) PT Pyfa Sehat Indonesia and PT Sari Murni Abadi.
3. Relationship of the Parties
The Company and/or PT Pyfa Sehat Indonesia does not have any affiliate relationship (as referred to in the Financial Services Authority Regulation Number 42/POJK.04/2022 regarding Affiliated Party Transactions and Conflict of Interests Transactions) with PT Sukses Makmur Abadi and PT Sari Murni Abadi.
4. Transaction Value
IDR 505,000,000 (five hundred and five million Rupiah).
5. Objective of the Transfer Transaction
The Transfer Transaction was carried out in order to change the business plan to be developed by the Company.
d. Impact of the Material Information or Fact
The Transfer Transaction results in the change of control of PT Mega Inter Distrindo. Hence, the Company and its controlled subsidiary are no longer affiliates of PT Mega Inter Distrindo.
Similar information is also submitted by the Company through IDX’s Website and reported to the OJK.
